By requesting a quote, signing a proposal or statement of work, paying an invoice, or using princetonits.com, you (“Client”, “you”) agree to these terms.
If you have signed a master services agreement or statement of work with us, that signed document takes priority wherever it conflicts with these terms.
Text-message communications are covered separately in our SMS Messaging Terms & Conditions. These terms do not replace them.
Princeton IT Services provides technology consulting and managed services, including:
The exact scope of any engagement is set out in the proposal, quote or statement of work we issue to you.
A proposal or quote is valid for 30 days unless it states otherwise. An engagement begins when you accept it in writing and we confirm the start date.
Each statement of work describes the services, deliverables, timeline, assumptions and fees. Work outside that scope is a change request. We will quote it and start it only after you approve it in writing.
Please raise any invoice dispute in writing within 15 days of the invoice date, and pay the undisputed portion on time.
To deliver on schedule, we need you to:
Delays caused by missing access or late approvals may change timelines and fees.
We treat your non-public business and technical information as confidential, use it only to deliver the services, and share it only with personnel and subcontractors who need it and are bound to similar duties. This does not apply to information that is public, already known to us, or required to be disclosed by law.
We use reasonable administrative, technical and physical safeguards. No system is completely secure, and we cannot guarantee against every threat. You remain responsible for the security of systems and credentials you control. Tell us promptly if you suspect unauthorized access.
If your work involves regulated data (for example health or financial data), we will agree any additional data-processing terms in writing before we handle it. Our Privacy Policy explains how we handle personal information.
You keep ownership of your data and pre-existing materials. We keep ownership of our tools, methods, templates, code libraries and know-how, including anything developed before or independently of your engagement.
Custom deliverables created specifically for you and paid for in full are yours to use for your internal business purposes, unless your statement of work says otherwise. We grant you a non-exclusive license to any of our pre-existing materials embedded in them. Third-party and open-source components stay under their own licenses.
We will perform services in a professional manner consistent with industry standards. If a deliverable does not meet the agreed specifications, notify us in writing within 30 days of delivery and we will correct it at no extra charge.
Except as stated here, services are provided “as is.” To the fullest extent allowed by law, we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted or error-free operation of systems or third-party services.
To the fullest extent allowed by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility.
Our total liability arising from an engagement is limited to the fees you paid us for the services giving rise to the claim in the 12 months before the event. These limits do not apply to liability that cannot be limited by law, such as fraud or willful misconduct.
You agree to defend and indemnify us against third-party claims arising from your data, your instructions, or your use of the deliverables in violation of law or of these terms. We will defend and indemnify you against third-party claims that a deliverable we created, used as permitted, infringes that party’s intellectual property rights. The indemnified party must give prompt notice and reasonable cooperation.
Sections on payment, confidentiality, intellectual property, disclaimers, liability and governing law survive termination.
